1. Definitions

The following defined terms apply throughout these Terms:

• Digital Assets: Any digital blockchain asset subject to the Services, including $SKR tokens and any other Solana-based tokens interacted with through the Interface.
• Digital Wallet: The non-custodial wallet or software used to store, send, and receive Digital Assets, including but not limited to Solflare, Phantom, and Mobile Wallet Adapter-compatible wallets.
• Interface: The SeekerRewards front-end web application accessible at seekerrewards.xyz and any related subdomains or deployments.
• Net Reward: The sum of Staking Rewards minus any applicable Protocol Fees, as actually granted and distributed by the underlying protocols.
• Staking Rewards: Any rewards generated through the locking or staking of Digital Assets via the Services, including yield, multiplier bonuses, or referral earnings.
• Protocol Fees: Any fees charged by or associated with the underlying smart contracts or blockchain protocols used in connection with the Services.
• Originating Wallet: The Digital Wallet address from which you initiated a staking transaction or to which Net Rewards are directed.
• Referral Profile: An on-chain verified profile linked to a valid .skr domain, enabling participation in the SeekerRewards referral reward system.
• SGT: Seeker Genesis Token — the access token required to use the Interface, verified on-chain at the time of wallet connection.

2. Acceptance of Terms

By accessing or using the SeekerRewards Interface, connecting your Digital Wallet, or interacting with any staking, referral, or reward functionality, you agree to be fully bound by these Terms and Conditions ("Terms"). These Terms constitute a legally binding agreement between you and SeekerRewards ("we," "us," or "our").

If you are accessing the Interface on behalf of an organization or entity, you represent that you have full legal authority to bind that entity to these Terms. If you do not agree with any part of these Terms, you must immediately cease all use of the Interface and disconnect your Digital Wallet.

We reserve the right to modify these Terms at any time. Modifications become effective immediately upon posting to the Interface. Your continued use of the Interface after any modification constitutes your acceptance of the updated Terms. You are solely responsible for regularly reviewing these Terms.

3. The Services

SeekerRewards provides a decentralized, non-custodial front-end interface built on the Solana blockchain. The Services include:

• Non-Custodial Staking: We do not at any time hold, custody, or control your Digital Assets. All staking transactions are executed on-chain by you using your own Digital Wallet. We solely provide the user interface to facilitate your interaction with underlying smart contracts.
• Referral System: Participation in the referral reward system requires a valid .skr domain detected and verified on-chain via the AllDomains TLD parser. Referral rewards are calculated automatically based on recruit staking activity and credited to your Referral Profile balance. No manual override or appeal is available for reward calculations.
• Staking Multipliers: Locking $SKR tokens for defined durations grants a yield multiplier applied to the staked amount. Multipliers are determined server-side and enforced independently of client-side display values. We reserve the right to adjust multiplier structures with reasonable notice.
• SGT Access Control: Access to the Interface requires holding a valid Seeker Genesis Token (SGT) in your connected wallet, verified on-chain at the time of each connection. We reserve the right to modify access control requirements at any time.

4. License to Access the Services

Subject to full compliance with these Terms, we grant you a limited, non-exclusive, revocable, non-transferable, non-sublicensable license to access and use the Interface solely for the purpose of staking Digital Assets and participating in the referral system as described herein.

This license does not grant you any ownership rights in the Interface, its codebase, design, branding, or any associated intellectual property. You may not use the Interface to build competing products, scrape data, reverse engineer smart contract logic, or engage in any automated interaction without our express written consent.

5. Blockchain Events

The underlying smart contracts and blockchain protocols used by SeekerRewards are independently operated. At any time and for any reason, these protocols may be modified, upgraded, paused, forked, or discontinued by their respective operators or by on-chain governance mechanisms. Such events ("Blockchain Events") may impact your Net Rewards, the availability of your staked assets, or your ability to claim rewards.

You acknowledge and agree that SeekerRewards is not liable for any loss, delay, or change in rewards arising from Blockchain Events. You accept full responsibility for understanding the technical nature of blockchain-based systems before using the Interface.

6. Rewards and Fees

Your use of the staking Services may generate Net Rewards based on the amount staked, the duration chosen, and the applicable multiplier at the time of your lock transaction. All reward estimates displayed in the Interface are informational and do not constitute a guarantee of any specific return.

• Staking Rewards: Rewards are calculated server-side using verified on-chain transaction data. The multiplier enforced by our backend is authoritative. Any discrepancy between the displayed multiplier and the backend-enforced multiplier will be resolved in favour of the backend value.
• Referral Rewards: Referral earnings are credited to your Referral Profile's totalEarned balance upon each qualifying recruit stake. Rewards become withdrawable once the minimum threshold of 1,000 SKR has been accumulated. We reserve the right to adjust this threshold with notice.
• Claim Process: Claiming staking rewards or referral withdrawals requires cryptographic identity verification via your Digital Wallet. Any claim attempt that fails verification will be rejected and logged for security purposes.
• Service Fees: SeekerRewards may charge service fees at its discretion. Such fees may be deducted from rewards or charged separately. Current fee structures, if any, will be disclosed in the Interface.

7. Eligibility and Prohibited Jurisdictions

You represent and warrant that you are of legal age in your jurisdiction of residence and have the full legal authority to enter into these Terms. You further represent that you are not:

• Sanctioned Jurisdiction: Located in, incorporated in, or a citizen or resident of any jurisdiction subject to comprehensive sanctions, including Cuba, Iran, North Korea, Syria, or the Crimea, Luhansk, and Donetsk regions of Ukraine.
• Prohibited Persons List: Identified on the OFAC Specially Designated Nationals list, the UN Security Council Sanctions List, or any other governmental sanctions or prohibited persons list.
• VPN Usage: Using a VPN, proxy, or any other tool to bypass geographic access restrictions is a direct breach of these Terms and may result in immediate termination of access and forfeiture of any pending rewards.
• Criminal History: You have not been convicted of any criminal offense involving theft, dishonesty, money laundering, or trafficking in controlled substances in any domestic or foreign court.

8. Risk Acknowledgment

By using the Interface, you expressly acknowledge and accept the following risks:

• Smart Contract Risk: The smart contracts underlying the Services may contain bugs, vulnerabilities, or be subject to exploits. Such events could result in partial or total loss of your staked Digital Assets. We do not guarantee the security or correctness of any smart contract.
• Market Volatility: Digital Assets are highly volatile. The value of $SKR or any other token may decrease significantly or go to zero. We are not responsible for any financial losses resulting from price movements.
• Regulatory Risk: Digital asset staking is subject to uncertain and evolving regulatory treatment in many jurisdictions. Future laws or regulations may affect the availability, legality, or profitability of the Services.
• Slashing Risk: Staking activities may be subject to slashing penalties imposed by the underlying network or protocol as a result of validator misbehaviour or protocol conditions outside our control.
• Private Key Responsibility: We will never ask for your private key. You are solely responsible for the security, custody, and control of your Digital Wallet and its private keys. Loss of your private key results in permanent loss of access to your assets and any associated rewards.
• Lock Period Risk: Staked assets are locked for the selected duration and cannot be retrieved before the unlock date. You accept full responsibility for your chosen lock period and its consequences.

9. Intellectual Property

All rights, title, and interest in and to the Interface, including but not limited to the SeekerRewards brand, logo, UI/UX design, frontend codebase, reward calculation logic, referral system architecture, and all associated intellectual property rights, are owned exclusively by SeekerRewards.

You are granted a limited, revocable, non-exclusive license to access the Interface solely for personal, non-commercial use in accordance with these Terms. You may not copy, modify, distribute, sell, or create derivative works based on the Interface or any part thereof without our express written consent.

You agree not to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or proprietary logic of the Interface, its APIs, or its smart contract integrations.

10. Termination

We reserve the right to terminate or suspend your access to the Interface at any time, with or without notice, for any reason including but not limited to breach of these Terms, suspicious or fraudulent activity, regulatory requirements, or discontinuation of the Services.

Upon termination, your license to access the Interface is immediately revoked. Any pending rewards at the time of termination may be forfeited at our discretion if the termination results from a breach of these Terms. Termination does not affect any rights or obligations accrued prior to the termination date.

The following sections survive termination: Definitions, Risk Acknowledgment, Intellectual Property, Disclaimer, Limitation of Liability, Indemnification, and Governing Law.

11. Disclaimer

THE INTERFACE, SERVICES, AND ALL ASSOCIATED TECHNOLOGY ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SEEKERREWARDS EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, COMPLETENESS, AVAILABILITY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

WE DO NOT WARRANT THAT THE INTERFACE WILL MEET YOUR REQUIREMENTS, THAT ANY REWARDS WILL BE GENERATED, OR THAT THE INTERFACE WILL BE FREE FROM VIRUSES, BUGS, OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE INTERFACE IS ENTIRELY AT YOUR OWN RISK.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SEEKERREWARDS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, DIGITAL ASSETS, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE INTERFACE OR THESE TERMS, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER SEEKERREWARDS WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT OUR LIABILITY IS NOT OTHERWISE EXCLUDED, OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER OR IN CONNECTION WITH THESE TERMS SHALL BE LIMITED TO ONE HUNDRED UNITED STATES DOLLARS (USD $100).

13. Indemnification

You agree to indemnify, defend, and hold harmless SeekerRewards and its officers, directors, employees, contractors, agents, successors, and assigns from and against any and all losses, damages, liabilities, claims, demands, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your breach of any provision of these Terms.
• Your violation of any applicable law or regulation in connection with your use of the Interface.
• Your infringement of any intellectual property or other rights of any third party.
• Any fraudulent, deceptive, or manipulative activity conducted through or in connection with your use of the Interface.
• Any claim by a third party arising from your use of the Interface in a manner not permitted by these Terms.

We reserve the right to assume exclusive control of any matter subject to indemnification by you, at your expense. You agree to cooperate fully with us in asserting any available defences.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the British Virgin Islands, without regard to conflict of law provisions. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be finally settled by binding arbitration in accordance with the BVI IAC Arbitration Rules.

The seat of arbitration shall be Road Town, Tortola, British Virgin Islands. Proceedings shall be conducted in English before a single arbitrator. The arbitrator's decision shall be final and binding and may be enforced in any court of competent jurisdiction.

CLASS ACTION WAIVER: ANY ARBITRATION UNDER THESE TERMS MUST BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY. YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, OR ANY PROCEEDING IN WHICH YOU ACT OR PROPOSE TO ACT IN A REPRESENTATIVE CAPACITY. CLAIMS MAY NOT BE JOINED OR CONSOLIDATED WITH THOSE OF ANY OTHER PERSON WITHOUT OUR EXPRESS WRITTEN CONSENT.

15. Miscellaneous

• Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.
• Waiver: No failure or delay by SeekerRewards in exercising any right under these Terms shall constitute a waiver of that right. No waiver shall be effective unless made in writing and signed by an authorised representative of SeekerRewards.
• Assignment: You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations at any time without restriction.
• No Third-Party Beneficiaries: These Terms are for the sole benefit of the parties hereto and do not confer any rights or remedies upon any third party.
• Force Majeure: SeekerRewards shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, war, terrorism, pandemics, government action, power outages, blockchain network failures, or failures of third-party infrastructure providers.
• Entire Agreement: These Terms, together with any additional policies referenced herein, constitute the entire agreement between you and SeekerRewards with respect to the subject matter hereof and supersede all prior agreements, understandings, or representations.
• External Links: The Interface may contain links to third-party websites or services. Such links are provided for convenience only. We are not responsible for the content, accuracy, or practices of any third-party sites and your access to them is at your own risk.
